Private Equity Deal Academy

The Private Equity Deal Academy is a five-part series designed to provide junior private equity professionals and corporate finance advisers with a practical overview of the private equity deal lifecycle and the key legal and commercial considerations that arise at each stage.

Whilst the programme is tailored towards those with a private equity focus, many of the topics are equally relevant to the wider M&A market and will provide valuable insight into how transactions are structured, negotiated and executed.
The series will comprise four virtual sessions followed by a fifth session in person, with networking drinks afterwards.

Sessions

Introduction to Private Equity: Structures, Players and Lifecycle (Wednesday 7 October, 2pm) Online

Overview of private equity funds, fund structures (limited partnerships, GP/LP model), key stakeholders, and the typical lifecycle of a private equity investment from fundraising to exit.

Deal Process and Key Documentation (Thursday 22 October, 1pm) Online

Step-by-step walkthrough of a typical private equity transaction, including initial approach, due diligence, heads of terms, sale and purchase agreements (SPAs), investment agreements, and completion mechanics.

Focus on the legal due diligence process, identifying key risk areas (corporate, commercial, employment, IP, regulatory), and how findings can impact deal terms and structure.

Management Incentives and Equity Participation (Thursday 19 November, 1pm) Online

Explanation of management incentive plans (MIPs), sweet equity, ratchets, and other mechanisms used to align management interests with investors, including key legal and tax considerations.

Overview of exit routes (trade sale, IPO, secondary buyout, recapitalisation), legal steps involved, and current market trends affecting exits, including warranty and indemnity insurance.

Each session will be delivered by members of our private equity team and will combine technical knowledge with practical deal experience.
