UK prospectus reform: public offer platforms and MTFs
The UK Financial Conduct Authority has published two further engagement papers regarding reform of the prospectus regime on public offer platforms and MTFs.
The UK Financial Conduct Authority (FCA) has published two further engagement papers regarding reform of the prospectus regime and has requested comments by 29 September 2023. The engagement papers cover:
establishment of public offer platforms for unlisted securities
primary multilateral trading facilities
The FCA had already published four engagement papers in May on topics such as admission to trading on a regulated market and protected forward looking statements (see UK prospectus reform - FCA engages on a streamlined approach). We understand that there will be initial FCA feedback in autumn 2023 with a formal consultation paper published in early 2024. It is likely that the final rules will come into force in 2025.
