International law firm Simmons & Simmons has advised International Mainstream Renewable Power Limited (and affiliates), a global renewable energy developer on the agreement for the sale of its 12GW South African platform to EMIF II Holding VII Coöperatief W.A., a fund managed by A.P. Moller Capital.
The share purchase agreement, signed on 16 June 2026, involves the disposal of a portfolio comprises 148 MW of operating and in-construction assets, 351 MW of construction-ready projects and a development pipeline of approximately 11.6 GW spanning solar, wind and battery storage opportunities. The transaction is subject to approval from the Competition Commission of South Africa.
Simmons & Simmons acted as lead international counsel to Mainstream, Fasken acted as South African law counsel, while A.P. Moller Capital was advised by White & Case.
The Simmons & Simmons team working on the deal was led by partners Iain Duncan and Waltter Kulvik, supported by supervising associate Jonathan Arumugam and of counsel Corinne Noel.
This transaction further strengthens Simmons & Simmons’ position as a trusted adviser to Mainstream. In 2022, the firm advised Mainstream and its joint venture partners – including IFC, Agility, Ascension, Rockefeller Brothers and Sanlam – on the sale of its ‘Lekela’ renewable power platform, then the largest pan-African renewables platform with 1GW of operational wind projects across South Africa, Egypt and Senegal plus a 1.8GW project pipeline.
