This week, ClientEarth announced their intention to pursue a claim against Shell’s board of directors in relation to the company’s net zero energy plan for breaches of s.172 (duty to promote the success of the company) and s.174 of the Companies Act 2006 (duty to exercise reasonable care and skill).
The claim would be a derivative action brought by ClientEarth as a shareholder of Shell on behalf of the company for the benefit of the company and they would have to persuade the Court for permission to continue the claim under s.261 of the Companies Act 2006.
