Bernulph heads the tax practice of Simmons & Simmons in Germany. He advises on German national and international tax matters in particular in connection with the structuring of funds (open and closed-end funds), M&A transactions, reorganisations and real estate transactions. A further focus of his activity is advising banks on financial products and VAT questions.
Relevant experience includes advising:
- Advising a US MNC on the restructuring/reorganisation of its European operations
- Advising a German corporate on a reorganisation to spin-off certain business lines for selling such operations
- Advising Waterland Private Equity on the tax aspects of a number of their German M&A transactions
- Advising on the set-up of several real estate, private equity, infrastructure and renewable energy funds
- Advising on a number of secondary transactions in relation to German closed end funds
- Advising a large number of German institutional investors on the tax aspects of their fund investments
- Advising a number of institutional investors on the tax aspects of acquisitions and dispositions of German real estate and real estate holding companies.
Bernulph has been recognised by JUVE as a frequently recommended tax lawyer (“outstanding expertise especially in funds”). In addition, he was named by the Handelsblatt, a German nationwide daily, as one of the best lawyers in Germany in the field of tax law.
