We advise on the acquisition, restructuring and disposal of intellectual property in the context of corporate mergers, acquisitions and financings. Working alongside our antitrust, funds, corporate, employment and tax practices, we cover the full lifecycle of a transaction. And drawing on our international network of IP and transactional specialists, we handle any project – no matter the size and scale.
When it comes to finance transactions, we act for companies looking to raise finance as well as investors – advising on fundraising and flotations and evaluating patent portfolios. And our clients range from leading research institutes and major pharmaceutical companies to venture capital and private equity funds as well as strategic investors.
We’re recognised for our expertise in the technology and life sciences sectors and act for some of the world’s largest biotechnology, pharmaceutical and electronics companies. We also advise some of the world’s leading banks and asset managers on technology heavy investments and acquisitions. Many of our lawyers have technical backgrounds and draw on this experience to deliver commercially astute, forward-thinking advice – so that clients can acquire, sell or invest with confidence.
We advised a global asset management company on its $1.3bn acquisition. The IP team worked closely with the wider deal team and led the technology aspects of the transaction, helping our client assess the technology and IP risks presented by the deal in the context of a fast moving and competitive auction process. This included advice on the integrating 700 clients in 48 countries with our clients' existing investment platform, to offer the industry’s most comprehensive whole portfolio investment operating platform.
Our transactional IP team worked with our corporate, regulatory, data privacy and employment teams to advise this global bank's strategic investment team on its participation in Bud’s $20m Series A investment round, alongside a number of other strategic investors. The IP team led the technology aspects of the diligence of Bud’s open banking banking platform.
Advising Sumitomo Rubber Industries, Ltd. on the 137.5m of Sports Direct International plc’s trade mark rights to the Dunlop brand and related sporting goods and licensing businesses. The transaction involved the detailed review and assessment of the extensive Dunlop trade mark portfolio and licensing framework.
