Simmons advises on Tenzing deal for cloud software platform

International law firm Simmons & Simmons has advised on a private equity deal involving investment by Tenzing in Bannerflow.

Tenzing is a leading European tech investor targeting SMEs up to the value of €300m. Its investment in Bannerlow is its first in the Nordic region, and is expected to support the company’s growth into markets in the UK and US.

Bannerflow is the third investment within Tenzing’s £900m Fund III, which closed in July 2024.

Simmons supported Swedish firm Mannheimer Swartling on the investment with a team led by private equity partner Tim Hewens with tax structuring support from partner Helen Coward.

Commenting on the deal, Tim Hewens said: “Tenzing’s investment in this fast-growing business is a significant addition to their growing portfolio – and one on which it has been a pleasure to advise. The transaction is the first PE deal Simmons has advised Tenzing on, and I look forward to building on our long term relationship and supporting them on more UK and European opportunities through the firm.”
