Stephen Nolan is a Managing Associate at Simmons and Simmons (Ireland) LLP, based in the Dublin office.

Stephen focuses his practice on investment funds and asset management and has significant experience and knowledge related to private assets and private markets. His experience includes:

  • advising on the formation and structuring of various investment funds, including alternative investment funds (AIFs) and non-EEA AIFs;
  • extensive experience advising alternative investment fund managers, investment managers and advisors on their regulatory obligations, particularly regarding the cross-border management and marketing of EU and non-EU AIFs;
  • advising on the use of SPVs (Special Purpose Vehicles) and 1907 limited partnerships in Irish and international fund structures, which are often used in private market investments;
  • advising global insurance and reinsurance companies on the use of funds and SPVs for collateral management;
  • advising on fund finance matters for fund borrowers; and
  • involvement in advising clients on specific private market transactions, such as:
    • a large US direct lending manager on the successful close of its third and fourth direct lending funds, raising more than US$6 billion+ in investable capital;
    • a global private debt manager on the establishment of two major funds, including a global multi-manager private debt fund and a distressed debt fund;
    • an international reinsurance group on structuring an Irish QIAIF umbrella platform with multiple investment strategy funds, including infrastructure debt and private credit;
    • a global reinsurer on the use of investment funds/SPVs to manage collateral in reinsurance agreements;
    • Irish matters related to subscription line credit facilities; and
      • a large Irish AIFM on the establishment of a private debt platform to manage approximately EUR 6 billion in capital commitments.
