Josh Gabriel is a Counsel in our Structured Finance & Derivatives team in our London office. He regularly advises banks, private equity firms, corporates, hedge funds and insurers and reinsurers.
Josh specialises in OTC derivatives across all asset classes, with a particular focus on strategic equity transactions. His experience includes advising on:
- margin loan transactions over listed and unlisted shares, including in the context of IPOs;
- collar and forward transactions, including, for purposes of raising finance, hedging a share price or building a strategic stake in a listed company on an accelerated basis;
- total return swaps, repurchase transactions and stock lending transactions; and
- structured share buy-back transactions.
He also advises on regulatory and corporate law issues related to these transactions, including on EMIR, SFTR, market abuse and the disclosure and transparency rules.
In addition, Josh has extensive experience advising on different collateral structures in longevity risk transfer transactions and their regulatory treatment under Solvency II.
