Dennis is a leading consumer media subscriptions business, holding a portfolio of trusted wealth, knowledge and B2B technology specialist brands. Dennis’ brands include MoneyWeek, The Week, The Week Junior and Kiplinger. The acquisition will, amongst other things, scale Future’s wealth vertical, diversify its revenue and further extend its reach in the North American market.
Completion of the acquisition is conditional upon, among other things, expiration of the applicable waiting period under US antitrust law. The transaction is being effected through the acquisition of Broadleaf Newco 2 Limited which will be the parent company of Dennis on completion, which is expected in Q4 of 2021.
This acquisition builds on numerous matters that Simmons has advised Future on previously, including M&A deals, fundraisings and its step up to the premium segment of the main market.
The Simmons team was led by corporate partner Ania Rontaler and assisted by supervising associate Giles Clifford and associate Sharikh Gilani, who worked together with lawyers across the firm, including its tax, competition, intellectual property, digital business, banking, employment, pensions, incentives and real estate teams as well as with Simmons Wavelength who supported delivery of the transaction with legal engineering.
