Our US securities practice regularly advises clients on the US aspects of a full range of complex and innovative transactions, with particular expertise in large international capital markets offerings. These include equity, equity-linked, investment grade and high-yield debt offerings, as well as cross-border mergers and acquisitions and other corporate finance transactions. The team is particularly focused on Rule 144A and private placement offerings of equity, debt and hybrid securities into the United States.

We have US securities partners based in London, Hong Kong and Amsterdam, with in-depth knowledge of the markets they operate in and strong relationships with key market participants. Our US securities lawyers work collaboratively with non-US qualified colleagues based in jurisdictions around the world to offer our clients an efficient and cost-effective service, aimed at minimising duplication between US disclosure and due diligence requirements and those of the relevant local market. We have substantial experience of working in multi-disciplinary teams and can draw on tax, regulatory, OFAC, FCPA and other areas of expertise as required.

Our US securities lawyers based in Europe and in the Asia-Pacific region have extensive experience practicing outside of the United States, representing both corporate and sovereign issuers as well as major investment banks acting as underwriters and sponsors, and have substantial experience in a wide range of industry sectors.
