Simmons & Simmons advises Fellowmind on sale and parallel merger with eCraft and Orango

International law firm Simmons & Simmons has advised the shareholders of Dutch company Fellowmind on its sale to Swedish private equity fund FSN Capital.

In parallel with the sale, the Simmons team also advised on Fellowmind’s merger with technology companies eCraft and Orango, a significant deal bringing together technological insight from Finland, the Netherlands and Sweden.

The merger element of the deal was a buy & build initiative intended to achieve Fellowmind’s vision of a Microsoft Business Applications platform with the capability to strengthen human connection in an increasingly digital age.

The acquisition by FSN Capital and the subsequent creation of the Fellowmind group is a significant cross-border deal for the European ICT industry, bringing together more than 1000 employees and a combined turnover of EUR 125 million.

The Simmons & Simmons team was led by Corporate M&A Partner Rob Hendriks and Managing Associate Martijn Stuart and the lawyers worked closely with Wave Corporate Finance on this deal.

Corporate M&A Partner Rob Hendriks:

“The ICT market in Europe is constantly evolving and Fellowmind has been an influential player in this landscape. By advising on the company’s sale to FSN Capital and parallel mergers with eCraft and Orango, we have supported the creation of the new Fellowmind group; a visionary force intending to preserve human connection at the core of our digital future. This was a complex and multi-faceted deal and the Simmons team worked hard to ensure the process resulted in a secure and ambitious future for Fellowmind.”

The Simmons team comprised of Michiel Boer, Pieter-Bas den Brave and Bob van Els.
