International law firm Simmons & Simmons has advised Normec, a leading European provider of Testing, Inspection, Certification, and Compliance (TICC) services, on its acquisitions of Labor Friedle GmbH and GALAB Laboratories GmbH, two renowned analytical laboratories in Germany. The transaction marks a significant step in Normec's European growth strategy and further strengthens its position in the German analytical testing market.
The acquisitions of Labor Friedle and GALAB Laboratories create one of the largest independent analytical platforms in Germany, significantly expanding Normec's expertise in food and consumer goods testing. Both laboratories will initially continue to operate under their existing management and brand names, while benefitting from the broader Normec network, shared expertise, and commercial synergies. The integration will focus on knowledge sharing, harmonisation of analytical methods, and cross-laboratory innovation to enhance customer value and accelerate growth.
Simmons & Simmons acted as legal counsel to Normec, advising on all aspects of the transaction, including due diligence and negotiation of the transaction documentation. The firm's team drew on its deep sector expertise in the field of TICC and its track record of advising on complex, multi-jurisdictional transactions in the life sciences and analytical services sectors.
Dr Fabian von Samson-Himmelstjerna, lead partner at Simmons & Simmons, commented: "These transactions mark an important milestone for Normec, significantly boosting their growing network of leading, high-quality laboratories. Our team's sector knowledge and experience in cross-border M&A were instrumental in navigating the complexities of the two parallel deals and supporting Normec's continued growth strategy in one of Europe's most advanced testing markets."
