- advising British Land on its £1.2bn corporate joint venture with J Sainsbury plc relating to 39 UK superstores, including structuring the joint venture to comply with REIT requirements and on related securitisation matters. This followed on from advice on the £1.015bn refinancing of its Meadowhall Shopping Centre securitisation, together with the establishment of the Meadowhall Limited Partnership, a Jersey vehicle with over £1.6bn of UK property assets at launch
- advising an oil and gas major on the terms of offers for the sale of various refinery site complexes and associated infrastructure and businesses in France
- advising The Royal London Mutual Insurance Society Limited on its participation in the successful £4.9bn contested offer by way of scheme of arrangement by a subsidiary of Pearl Assurance plc for Resolution plc
- advising Telefónica on the £2.015bn sale of O2 Airwave to Macquarie and previously on its £17.7bn bid for O2 - the largest global telecoms deal of 2005
General Experience
Nick has a broad experience of corporate tax with a particular emphasis on transactional work including sales and purchases of companies, mergers, demergers, reconstructions, business sales and purchases, joint ventures, and VAT. He also advises on structured finance products, securitisations, business process outsourcing arrangements and real estate transactions.
Nick is recognised as a specialist in the mergers and acquisitions field.
Background
Nick is a member of the Technical Committee of the Chartered Institute of Taxation Corporate, International, VAT and Property Sub-Committees. He has written and contributed to various tax publications, including, the "PLC Tax Manual", "PLC Share Purchases Manual" and the tax sections of the book by W.K. Knight, "The Acquisition of Private Companies and Business Assets" (7th edition) published by FT Law & Tax.
Nick qualified as a solicitor at Simmons & Simmons in 1992 and subsequently became a partner in 1998.
