Abu Dhabi Securities Market

- advising the board and Executive Committee of the Abu Dhabi Securities Market on the establishment of the Abu Dhabi Securities Market, one of the first electronic markets in the region for trading in local and foreign securities. Our role included drafting the rules of the market in English and Arabic, advising on all issues related to the establishment of the new market including membership and the role of new participants, the regulation of market activities and the preparation of standard contracts for use with market participants.

Abu Dhabi Water and Electricity Authority (ADWEA)

- advising on the

- advising on Suweihat1, a US$1.6bn independent power and water project - the most ambitious IWPP in the Gulf which achieved financial close in December 2001.

- acting on the Umm Al Nar power and water project, valued at $1.4bn

- advising on a large desalination project incorporating the latest reverse osmosis technology valued at approximately US$350m..

- advising on project Sohar - the construction of a power plant and aluminium smelter valued at approximately US$1bn.

General Authority for the Support and Development of Healthcare in Abu Dhabi

- representing the General Authority for the Support and Development of Healthcare in the Emirate of Abu Dhabi on the implementation of an integrated healthcare information system to link all hospitals and clinics under the Authority's supervision.

Project Dolphin

- acting for the project sponsor, UAE Offsets Group, in connection with the US10bn cross-border gas pipeline project in the Middle East known as Project Dolphin, which is the world's largest integrated gas program. The project involves the construction and operation of a gas pipeline grid connecting Qatar, Abu Dhabi, Dubai and Oman. We advised on all aspects, including financing, structuring, partnering, upstream development, transportation, gas sales arrangements, and participation in downstream projects.

Major New Regulatory Law

- assisting a confidential government client with plans to deregulate a major sector in a Middle Eastern country. The nature of the project and the sector remain confidential. Our role involved:

• assisting with the strategic planning of the structure of the sector and the regulatory body

• advising on the interrelation of the new law with existing laws

• advising on the interface between the regulatory authority and other government and regulatory bodies in the country

• preparing the English and Arabic versions of a new law governing the sector and establishing the regulatory authority including identifying the most appropriate legal structure by reference to the experience of other jurisdictions

• advising on the content of regulations and codes to be issued

Oasis International Leasing Company

- advising this client, a major public joint stock company, on the first rights issue in Abu Dhabi.

US$950 million Bridge Facility

- advising the National Bank of Abu Dhabi, Abu Dhabi Islamic Bank, HSBC, Gulf International Bank, Barclays Bank and a group of other lenders in relation to a US$950 million Bridge Facility.
