General Experience

Jason is a partner in our Corporate & Commercial group. He has wide experience of advising on private and public M&A, joint ventures, strategic alliances, investment transactions, reorganisations and general corporate and commercial matters.

He has a particular focus on cross-border transactions and matters. He is highly ranked by legal directories and led the teams awarded M&A Team of the Year (Medium-Sized Deal) – Highly Commended at the British Legal Awards 2017.

He is frequently active on M&A transactions involving Japanese companies and acts as advisor to a number of leading Japanese groups on their activities internationally.

Recent Work
  • advising Sumitomo Rubber Industries on its contemporaneous acquisitions:
    • for £215m of leading UK tyre distributor and retailer Micheldever, from private equity fund Graphite Capital Management and
    • for US$137.5m of Sports Direct’s international trademark rights to the DUNLOP brand and related sporting goods and licensing businesses
  • advising Mitsubishi UFJ Trust and Banking Corporation in relation to its capital and business alliances with Aberdeen Asset Management (valuing Aberdeen at £6bn), the subsequent development of the alliances and the £11bn merger between Aberdeen Asset Management and Standard Life to form Standard Life Aberdeen, of which MUTB is lead shareholder
  • advising APG, one of Europe’s largest pension fund asset managers, on the merger of the Elephant & Castle and “East Village” residential projects to create a £1.4bn joint venture with Delancey and Qatari Diar in the UK’s private rented market
  • advising Sealed Air Corporation on the divestment of its Japanese subsidiary Diversey to funds advised by the Carlyle Group for US$377m
  • advising a leading trading company on transactional and operational matters across Europe, including a pan-European reorganisation of its group shareholding structure
  • advising on the purchase of all the assets of AIM-quoted Japan Leisure Hotels, the only overseas-traded investor in the Japanese leisure hotels sector, together with the simultaneous acquisition of all the equity in four Japanese entities holding associated real estate and IP assets
  • advising Renown on the disposal of Aquascutum, involving the simultaneous sale of the Aquascutum Asian IP portfolio to Hong Kong conglomerate YGM and sale of the shares to the owners of Jaeger, the retention of a long-term licence in Japan (the world’s largest market for Aquascutum products) and arrangements with the UK government regarding pension liabilities
  • advising Daiwa Securities SMBC on its financing of Nippon Sheet Glass’s £2.2bn takeover of Pilkington by way of scheme of arrangement, then the largest public takeover by a Japanese corporate in the UK.
Background

After completing his training at Simmons & Simmons, Jason qualified as a solicitor in 1998 and became a partner in 2006.

From 2000 to 2003 he was on secondment to leading Japanese law firm TMI Associates in Tokyo.

Jason was head of the firm’s Corporate & Commercial practice throughout Asia from 2012 to 2015.

He has been recognised as a leader in his field by numerous legal directories. Teams led by him were awarded M&A Team of the Year (Medium-Sized Deal) – Highly Commended at the British Legal Awards 2017. Asia Pacific Legal 500 notes Jason as an "excellent technical lawyer with an understanding of strategy and negotiating technique" and recommends him as "experienced at handling cross-border M&A matters".

He is highly rated by Chambers Global and Chambers Asia Pacific, including recognition as a Notable Practitioner, ranking in the top tier of English-qualified lawyers active in connection with Japan and noting for "high praise from clients" with "deep knowledge of legal issues and extensive experience" and peer recognition as an "effective operator".

He has also been listed in IFLR 1000, reporting client comment that "Jason and his team did a superior job representing our company on a large divesture", the International Who's Who of Corporate Governance Lawyers and Who’s Who Legal, which noted him in connection with M&A including in the TMT market, remarking on him as a "leading authority" and commending him for his "comprehensive advice". He has been named as a BTI Client Service All-Star for combining exceptional legal expertise with practical advice, business savvy and innovative, effective solutions.

Jason is co-author of the Japan section of Kluwer Law International’s Corporate Acquisitions & Mergers. He is a fluent Japanese speaker, has passed the highest level in the Japan Foundation Japanese Proficiency Test and won the 1998 JETRO sponsored Sir Peter Parker Spoken Business Japanese Awards.

Jason was a founding committee member and is a former secretary of the British Japanese Law Association, which in 2009 received the Ambassador's Commendation from the Embassy of Japan for its contribution in promoting exchange between Japan and British lawyers.
